These Terms of Service (“Terms”) govern your use of the Iteas Design website and the services we provide. By using the website or engaging our services, you agree to these Terms.

1. Who We Are

Iteas Design Pvt. Ltd. (“Iteas Design”, “we”, “us”) is a software and design studio based in Noida, Uttar Pradesh, India. We provide software development, design and experience, hardware and IoT integration, digital transformation, and implementation and support services.

2. Use of the Website

  • Content on this website, including text, images, case studies, and logos, belongs to Iteas Design or to our clients and partners, and is provided for information only.

  • You may not copy, reproduce, scrape, or redistribute website content without our written permission, or use the website in a way that damages or disrupts it.

  • Case studies describe work delivered for specific clients. Results vary, and nothing on this website is a guarantee of a particular outcome.

3. Services and Engagements

  • Services are provided under a separate proposal, statement of work, or agreement that sets out scope, timelines, deliverables, and fees. Where that document conflicts with these Terms, the signed agreement prevails.

  • Estimates and timelines depend on timely client input, approvals, access, and content.

  • Changes to scope are agreed in writing and may affect cost and schedule.

4. Fees and Payment

  • Fees, invoicing schedules, and payment terms are set out in the applicable proposal or invoice. Invoices are payable by the due date stated on them, and overdue payments may result in work being paused.

  • Applicable taxes, including GST, are charged in addition to fees unless stated otherwise.

5. Intellectual Property

  • On full payment, you own the final deliverables created specifically for you, as described in the agreement.

  • We retain ownership of our pre-existing tools, frameworks, libraries, know-how, and software products, and grant you a licence to use them as part of the deliverables.

  • Third-party and open-source components are subject to their own licences.

  • Unless you ask us not to, we may reference the project, without disclosing confidential details, in our portfolio and marketing.

6. Confidentiality

Each party will keep the other’s non-public information confidential and use it only for the purposes of the engagement.

7. Warranties and Liability

  • We deliver our services with reasonable skill and care. Except as stated in a signed agreement, the website and services are provided “as is” without other warranties.

  • To the maximum extent permitted by law, Iteas Design is not liable for indirect, incidental, or consequential losses, including lost profits or data, and our total liability for any engagement is limited to the fees paid for that engagement.

8. Termination

Either party may end an engagement in writing as set out in the applicable agreement. You remain responsible for paying for work completed up to the date of termination.

9. Governing Law

These Terms are governed by the laws of India. The courts at Gautam Buddha Nagar, Uttar Pradesh have exclusive jurisdiction over any dispute.

10. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a new effective date.
